Description: Pepcid is a competitive inhibitor of histamine H2-receptors, which reduces both the acid concentration and volume of gastric secretion. There are various formulations of Pepcid, including oral tablets, an oral suspension, and an injectable. An over-the-counter preparation (Pepcid AC) was approved in 1995 for heartburn. Pepcid Complete is another over-the-counter preparation that includes the antacids calcium carbonate and magnesium hydroxide.

Deal Structure: Famotidine was developed by Yamanouchi Pharmaceutical. The drug was licensed to Merck in the mid-80s.

In April 2005, Yamanouchi Pharmaceutical and Fujisawa Pharmaceutical merged to become Astellas Pharma.

Johnson & Johnson and Merck
The over-the-counter formulations of Pepcid are marketed by Johnson & Johnson Merck Consumer Pharmaceuticals (JJMCP), a 50:50 joint venture formed in 1989 to develop, manufacture, market and distribute certain over-the-counter (OTC) consumer products in the United States (U.S.) and Canada.

In September 2011, Merck announced that the company has sold its 50 percent interest in the JJMCP joint venture to Johnson & Johnson (J&J) affiliates, McNEIL-PPC, McNEIL MMP, and Johnson & Johnson. Under the agreement, Merck will receive a one-time payment of $175 million. Merck's rights to the Pepcid brand outside the U.S. and Canada are not affected by this transaction.
